Byron Loflin

Global Head of Board Engagement, Nasdaq

Byron Loflin is the Global Head of Board Engagement at Nasdaq, where he leads the Board Engagement team in providing a strategic, collaborative, and technology-based approach to support boards’ efforts in strengthening governance effectiveness.

The portfolio of governance services and products includes a variety of board, CEO, and management evaluations, streamlined Directors’ and Officers’ Questionnaire and pre-proxy disclosure processes, and the Nasdaq Boardvantage board portal.

Byron is the founder and former CEO of the Center for Board Excellence (CBE), which was acquired by Nasdaq in 2019. His experience and expertise are in the design and administration of evaluations, as well as advising boards, board chairs, CEOs, and executive management on board strategy.


Kiimberly Casiano

Director, Ford Motor Company, Mutual of America

As the first Hispanic woman to serve on any of the top five “Fortune 100” corporate boards, Ms. Casiano brings deep board knowledge and over 35 years of experience and perspective.  Ms. Casiano serves on the boards of directors of Ford Motor Company and Mutual of America.  She formerly served on the boards of directors of Mead Johnson Nutrition Company and Scotiabank of Puerto Rico.

In December 2003, Ms. Casiano was elected to the Board of Directors of Ford Motor Company (NYSE: F).  Founded in 1903 and headquartered in Dearborn, Michigan, Ford Motor Company is one of the world’s largest automakers with operations in 200 markets on six continents.  Ms. Casiano serves on the Audit, Innovation & Sustainability, and Nominating & Corporate Governance Committees.

In April 2006, Ms. Casiano was elected to the Board of Directors of Mutual of America and is a member of the Executive Committee, Product & Marketing Committee (Chair), and Audit Committee.  Founded in 1945 in New York, Mutual of America provides retirement and insurance products to employees of nonprofit organizations and small and medium-sized businesses throughout the United States.

In March 2010, Ms. Casiano was elected to the board of directors of Mead Johnson Nutrition Company (NYSE: MJN), a global leader in pediatric nutrition including the #1 infant formula in the world, Enfamil.  Founded more than 100 years ago, MJN manufactures and markets in over 50 countries in North America, Latin America, Europe, and Asia-Pacific.  In 2017, the board of directors of MJN negotiated the strategic sale of the company to Reckitt Benckiser Group plc., based in the United Kingdom.

Formerly, Ms. Casiano was President of one of the largest U.S. Hispanic publishers of periodicals and magazines in the country and one of the first bilingual (English-Spanish) call centers in the Western Hemisphere.  Prior to her tenure in the media, call center, and direct marketing industry, Ms. Casiano was founder and president of a consulting company that assisted the U.S. Department of State in Latin America and Caribbean investment, trade promotion, and economic development programs.

Ms. Casiano’s involvement in business organizations includes being the first female Chapter Chair of the Young Presidents’ Organization (YPO), Puerto Rico chapter.  She is also a founder and serves on the board of directors of the Latino Corporate Directors Association (LCDA) and was just recently named to the global Alumni Board of Harvard Business School (HBS).

Ms. Casiano also serves on the Board of Advisors of the Moffitt Cancer Center in Tampa, Florida, the third busiest cancer center in the United States, ranked a top 10 cancer center by U.S. News & World Report.  For 10 years, she chaired the annual fundraising event for the American Cancer Society (ACS) in Puerto Rico and, in 2005, was the recipient of the prestigious ACS national “HOPE” award.

Ms. Casiano is ranked one of the top 10 Most Powerful Latinas in the United States by ALPFA, the Association of Latino Professionals For America, the largest and longest-standing Latino organization in the country with close to 100,000 members.  She has been the recipient of numerous awards and distinctions: including the 2020 Directors to Watch in “Directors & Boards” magazine; the “Latino Leaders” magazine Maestro Award; the Best of the Boardroom “Hispanic Executive” magazine (where she appeared alone on the cover); the Spelman College Woman of Color Leadership Award; the “Hispanic Executive” magazine Most Powerful Latinos; to name a few.  Ms. Casiano has been a speaker at Massachusetts Institute of Technology, Harvard Business School, Princeton University, and at the City of Tampa Latino conference.  Ms. Casiano was an acknowledged contributor to the 2018 KPMG Board Leadership Center publication entitled “The ESG Journey: Lessons from the boardroom and C-suite.”

Ms. Casiano studied Politics and Latin American Studies at Princeton University (B.A., magna cum laude, 1979) and obtained her Master’s in Business Administration (M.B.A.) from Harvard Business School in 1981.  She is married to Peruvian-born Juan F. Woodroffe, and the couple has two children.
