After the Election: Executive Comp, Audit, Risk and Governance Issues

Thursday, December 1, 2016

2 pm ET/11 am PT

Join director Sheila Hooda, executive compensation expert Blair Jones of Semler Brossy and governance specialist Maureen Bujno, a managing director of the Center for Board Effectiveness, Deloitte LLP, for an hour-long conversation covering where board service is going and what the climate will be like for directors over the next four years.

With the national elections now in the rear-view mirror, boards are turning to the tasks of governance in the New Year and beyond. Evergreen duties such as CEO succession planning, strategic guidance, M&A due diligence, globalization, corporate social responsibility and boardroom/workforce diversity will be joined by a host of evolving issues that have taken center stage over the recent past.

What are the leading practices for boards when it comes to executive compensation, say-on-pay, and other compensation committee matters?
How have recent scandals and CEO departures changed the dialog on clawback rules and other potential board actions on compensation?
What skillsets may be needed for boards over the next several years?
What new challenges may arise in the coming months to take their places alongside cybersecurity, shareholder activism, and defining risk appetite?
What is ESG (environmental, social, and governance) all about and how can boards address these evolving metrics proactively?
How is the profile of the effective director evolving as board service becomes more complicated and demanding?
What steps should private companies take to formalize their board structure?
